Severability: in case if any provision of this surrogacy agreement is deemed as being either invalid or unenforceable, the same shall be deemed severable from the remainder of this surrogacy agreement and shall not become the reason of either invalidity or unenforceability of the remainder of this surrogacy agreement. In case if such a provision is deemed invalid because of its scope or breadth, such a provision shall be deemed valid to the extent of the scope or breadth, permitted by the Law.
Warranties: considering the ultimate results, costs, liabilities as well as obligations, no warranties have been made considering the costs, liabilities, obligations and / or the ultimate results of the participants of this surrogacy agreement, which may result form any judicial process arising in the result from the actions and / or conduct of the participants to this surrogacy agreement. Moreover, the participants are to understand that there is no person, who might be able to warrant the conception of a child / children, the gender of the child / children, as well as the physical and / or mental health of any child / children, delivered in the result of this surrogacy agreement.
Voluntary: every participant is to be sure that he or she understands this surrogacy agreement, as well as its legal effect completely and that he or she is signing this surrogacy agreement in a free and voluntary way, and that neither participant has any reason to consider that the other might have executed this surrogacy agreement either not freely or not voluntary.
Any participant may try to enforce this surrogacy agreement in court; however, all participants are to realize that it is possible that the court may refuse to enforce this surrogacy agreement either in part or in whole. All the participants are to assume the risk of unenforceability in entering this surrogacy agreement.
Governing Law: this surrogacy agreement shall be governed by the laws of the State of (State).
Integrated Contract: this surrogacy agreement is the representation of the entire agreement between its participants to this surrogacy agreement as well as to all agreement, covenants warranties, representations, either expressed or implied, either oral or written, are contained here. There is no other agreement, covenant, representation or warranty, either expressed or implied, either oral or written, have been made by any participant to the other with respect to the subject matter of this surrogacy agreement.
